1. Acceptance of these terms
These Terms of Service (“Terms”) form a binding agreement between you and TheraBasics LLC (“TheraBasics,” “we,” or “us”). By creating a TheraBasics account, signing in, or otherwise using the Service, you agree to these Terms and to our Privacy Policy.
If you do not agree, do not use the Service. If you are using the Service on behalf of an organization (for example, as a therapist with a private practice), you represent that you have authority to accept these Terms on the organization’s behalf.
2. Eligibility (18 and older)
TheraBasics is intended for adults aged 18 and older. By using the Service, you confirm that you are at least 18. We do not knowingly permit anyone under 18 to create an account. If we learn that we have collected information from a person under 18, we will delete it.
You must also have the legal capacity to enter into a binding contract under the laws of your jurisdiction.
3. What TheraBasics is — and isn't
What it is
TheraBasics is a wellness companion app. You can use it to:
- Log daily mood and check-ins
- Track rituals you choose or that a therapist assigns
- Write journal entries and reflections
- Track your menstrual cycle (optional)
- Connect to a licensed therapist (Connected Mode) so they can see the data you choose to share
What it isn’t
The Service is not, and is not intended to be:
- A medical device or telehealth platform. We do not diagnose, treat, cure, or prevent any medical or mental health condition.
- A substitute for professional medical or mental healthcare. Always seek the advice of a qualified clinician for any medical or mental health concern.
- An emergency or crisis service. Do not use the Service if you need immediate help.
4. AI-generated content
Several features of the Service use artificial intelligence — currently Anthropic’s Claude models, accessed via AWS Bedrock so inference runs inside our AWS environment — to generate content based on the information you provide:
- Session briefs for your therapist: AI-summarized weekly patterns, generated from the data categories you’ve chosen to share.
- Reflective responses shown to you after a check-in (in Solo Mode and Connected Mode, when enabled).
- Crisis-language classification: AI assessment of whether text you’ve written may indicate a risk to your safety.
AI outputs are reflective tools — they are not clinical advice and they may be incomplete, inaccurate, or misleading. They are not a substitute for the judgment of a licensed clinician. We do not use the contents of your journal, check-ins, or messages to train any AI model. AI providers process this data on our behalf only, under the agreements described in the Privacy Policy.
5. Your relationship with your therapist
TheraBasics is a tool independent therapists use with their clients. We are not your therapist. We do not provide clinical care, do not control how your therapist uses the data you share with them, and are not party to your therapeutic relationship.
Your therapist is responsible for the clinical decisions they make and for complying with their own professional and legal obligations (including their jurisdiction’s licensure rules, the standard of care, and their own privacy obligations). If you have a clinical concern, contact your therapist directly.
Therapists who use the Service have signed a Business Associate Agreement with us, which governs their access to your data on the platform. You can disconnect from your therapist at any time from your settings.
6. Your account
- You agree to provide accurate information when you create your account and to keep it current.
- You are responsible for keeping your sign-in credentials (Apple ID, Google account, or email) secure. Activity that occurs under your account is your responsibility.
- One account per person. Do not share an account with anyone else.
- If you suspect unauthorized access to your account, notify us at support@therabasics.com as soon as possible.
7. Acceptable use
You agree not to:
- Use the Service to harass, threaten, or harm any other person
- Impersonate another person or misrepresent your identity, credentials, or affiliation (including, for therapists, your licensure status)
- Submit content that is unlawful, infringes another person’s rights, or violates a duty of confidentiality you owe to a third party
- Use the Service to provide or solicit medical advice in a manner that requires professional licensure you do not hold
- Attempt to access another user’s data, the Service’s underlying systems, or any part of the Service you are not authorized to access
- Scrape, copy, or harvest data from the Service except as expressly permitted (for example, exporting your own data)
- Reverse engineer, decompile, or attempt to derive the source code of the Service except where that restriction is prohibited by law
- Use the Service to develop or train a competing artificial intelligence system
- Interfere with the Service’s operation, including via automated traffic
8. Content you create
The journal entries, check-ins, rituals, and other content you log (“Your Content”) belong to you. We do not claim ownership of Your Content.
To operate the Service, you grant us a limited, non-exclusive, royalty-free license to host, store, transmit, display, and process Your Content for the purposes described in the Privacy Policy — namely, to provide the Service to you, generate therapist-facing summaries when you’ve chosen Connected Mode, and detect language that may indicate a safety risk. This license ends when you delete the content or close your account, except as described in our retention policy.
You are responsible for Your Content. You represent that you have the right to submit it and that it does not violate these Terms or any third-party right.
9. Fees and subscriptions
9.1 Subscription plans
TheraBasics offers two paid therapist subscriptions and one paid client subscription:
- Pro (therapist): individual clinician subscription with a base capacity of 30 clients. Available in monthly and annual cadence, billed through Stripe. New signups start with a 14-day free trial with full Pro features — no payment method required until trial expiry.
- Practice (therapist): multi-clinician subscription with a base of 100 clients per clinician seat. Available in monthly and annual cadence, billed through Stripe. The Practice subscription pays for the practice itself; individual clinicians are added via the Practice Clinician Seat add-on (see 9.2).
- Plus (client, mobile app): in-app subscription for individual clients on iOS or Android, billed through Apple or Google. We do not handle Plus payment information directly — Apple and Google process and store it on their platforms. Plus is not required to use Connected Mode with a therapist; Connected clients receive Plus-equivalent features at no charge.
Current prices are shown on the pricing page and in the in-app subscription screen at the time of purchase. We may change the standard prices for new subscribers from time to time; existing subscribers’ rates remain the rate they signed up at for the current billing period, and we will provide at least 30 days’ advance notice before any change takes effect on their renewal.
9.2 Capacity add-ons
Two add-ons are available to expand the capacity of a base therapist subscription:
- Pro Client Pack — layered on a Pro subscription. Each quantity unit adds 15 client slots to the Pro base of 30 (so 1 pack = 45 clients, 2 packs = 60, and so on). Billed at the Pro subscription’s cadence (monthly or annual).
- Practice Clinician Seat — layered on a Practice subscription. Each quantity unit adds 1 clinician account. Each clinician seat carries its own 100-client cap. Billed at the Practice subscription’s cadence.
Add-on quantities can be increased or decreased through the billing settings; quantity changes are prorated against the current billing period. Add-ons cancel automatically when their base subscription is cancelled.
9.3 Billing and renewal
Therapist subscriptions and add-ons renew automatically at the end of each billing period (monthly or annual) using the payment method on file with Stripe, until you cancel. We will email a renewal reminder before each annual renewal at least 30 days in advance. Monthly subscriptions do not receive a per-period reminder, but the most recent charge appears in your billing history at any time.
Client Plus subscriptions renew automatically per the App Store or Play Store’s subscription terms. Apple and Google handle renewal notifications, payment method updates, and dunning. You can manage or cancel Plus from your device’s subscriptions screen.
Failed payments are handled per the payment processor’s standard retry policy. If a charge fails repeatedly, your subscription status will move to past_due and then to expired, at which point your account drops to the free tier. Your data is preserved unchanged; only access to paid features is suspended.
9.4 Cancellation
You can cancel any paid subscription at any time:
- Therapist subscriptions (Pro, Practice): cancel through the Stripe Customer Portal accessible from your therapist dashboard. By default, cancellation takes effect at the end of the current billing period — you keep paid features until then. For immediate cancellation with a refund, see the refund policy at /refunds.
- Client Plus: cancel from the App Store (iOS) or Play Store (Android) subscriptions screen on your device. Cancellation takes effect at the end of the current billing period per Apple/Google policy.
- Add-ons: reduce quantity or remove an add-on entirely through the same billing settings as the base subscription. Refunds for removed add-on quantities follow the refund policy at /refunds.
9.5 Plan changes (upgrade, downgrade, tier switch)
You can switch between Pro and Practice at any time through your billing settings:
- Upgrades (Pro → Practice) take effect immediately. You are charged a prorated amount for the difference between the two tiers for the remainder of the current billing period.
- Downgrades (Practice → Pro) take effect at the end of the current billing period. You retain Practice features through the paid period, and the lower Pro rate applies on the next renewal. If your downgrade puts you over the lower tier’s capacity limit (for example, downgrading to Pro while connected to more than 30 clients), existing connections are preserved but new invites are blocked until the count drops below the limit.
- Add-on quantity changes follow the same proration logic: increases charge a prorated amount immediately; decreases credit (or, per the refund policy, refund) the unused portion of the removed quantity.
9.6 Refunds
Our full refund policy is published at /refunds. Summary:
- Pro and Practice subscriptions: 30-day money-back guarantee on your first paid charge. After 30 days, prorated refunds for the unused portion of the current billing period are available on cancellation.
- Add-ons follow the same 30-day-then-prorated rule as the base subscription they’re attached to.
- Client Plus refunds are handled by Apple or Google — we don’t process them because the payment flows through their platforms.
9.7 Founding-member rate (Pro only)
If you subscribed to Pro during our early-access period and your account was flagged as a founding member, the founding-member rate is honored for the lifetime of your Pro subscription as long as it remains continuously active. The founding-member rate applies only at the Pro tier — the Practice tier does not offer a founding rate.
If you cancel a founding-member Pro subscription and later re-subscribe, the founding rate is not preserved on re-subscription — you pay the then-current standard Pro rate. Upgrading from a founding Pro subscription to Practice moves you to the standard Practice rate; downgrading back to Pro after a Practice period does not restore the founding rate (the lifetime-rate guarantee assumes continuous Pro billing).
9.8 Billing data and HIPAA
Billing for therapist subscriptions is processed by Stripe; billing for Client Plus is processed by Apple or Google through RevenueCat’s subscription management infrastructure. None of these payment vendors receive Protected Health Information (PHI). They see only the operational data required to operate subscriptions: email, name, billing address, payment instrument, opaque user identifiers, and standard purchase metadata.
The Business Associate Agreement we maintain with our HIPAA-covered subprocessors (see the Privacy Policy, Section 5) covers the clinical data plane only. The billing data plane is separated by design and is not under any BAA. This separation is documented in our internal payment-vendor PHI review and is enforced by the structure of our codebase: no clinical fields are transmitted to any payment vendor.
For therapists subject to HIPAA as Covered Entities: billing-related communications (renewal notices, receipts, refund confirmations) are not treatment-related and do not constitute PHI under HIPAA’s definition. These communications are delivered through standard email channels, not through HIPAA-restricted paths.
10. Our intellectual property
The Service — including the TheraBasics name, logo, software, design, prompts, curated content, and underlying technology — is owned by TheraBasics LLC and its licensors and is protected by copyright, trademark, and other laws. Nothing in these Terms grants you any right to our intellectual property except the limited right to use the Service in accordance with these Terms.
Feedback you send us about the Service is non-confidential, and we may use it to improve the Service without obligation to you.
11. Termination
By you
You can stop using the Service at any time. To delete your account, use the delete option in your account settings or email us at support@therabasics.com. Account deletion ends your license to use the Service.
By us
We may suspend or terminate your account if we reasonably believe you have violated these Terms, if continued provision of the Service would expose us to legal liability, or if we discontinue the Service. Where feasible, we will give you notice and an opportunity to address the issue. Sections that by their nature should survive termination (including disclaimers, limitations of liability, indemnification, and dispute resolution) will survive.
12. Disclaimers
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or secure; that defects will be corrected; or that the Service will meet your particular requirements. Mental health is complex and personal — the Service supports your self-awareness and your relationship with your therapist, but does not guarantee any specific clinical outcome.
13. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER TheraBasics LLC NOR ITS OFFICERS, EMPLOYEES, OR AGENTS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.
OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of this section may not apply to you.
14. Indemnification
You agree to defend and indemnify TheraBasics LLC and its officers, employees, and agents from and against any third-party claim arising out of: (a) your violation of these Terms; (b) your misuse of the Service; or (c) Your Content, where the claim is that Your Content infringes a third party’s rights or violates applicable law.
15. Governing law and disputes
15.1 Governing law
These Terms are governed by the laws of California, without regard to its conflict-of-laws rules. Where consumer-protection law of your home jurisdiction grants you greater rights, those rights apply.
15.2 Informal resolution first
Before filing any formal claim, you agree to contact us at support@therabasics.com and give us 60 days to try to resolve the dispute informally.
15.3 Arbitration
If we can’t resolve the dispute informally, you and TheraBasics agree to resolve it through binding individual arbitration administered by a recognized arbitration provider, except that either of us may bring an individual claim in small-claims court if it qualifies. You and TheraBasics each waive the right to a jury trial and to participate in a class action. The arbitration will take place in Los Angeles County, California or another mutually agreed-upon location. The arbitrator’s decision is final and may be entered as a judgment in any court of competent jurisdiction.
15.4 Opt-out
You may opt out of the arbitration agreement by sending written notice to support@therabasics.com within 30 days of first accepting these Terms. Opting out does not affect any other portion of these Terms.
16. Changes to these terms
We may update these Terms from time to time. When we make a material change, we will notify you in the app, by email, or both, at least 30 days before the change takes effect (except where a shorter notice period is required by law or to address a security issue). Continued use of the Service after the effective date of an update means you accept the updated Terms.
